NUR HR Terms and Conditions

1. About NUR HR and these Terms
Â
NUR HR is a business name and brand of NURNOW LLC, a California limited liability company ("NUR HR," "we," "us," or "our"). These Terms and Conditions ("Terms of use" or "Terms") address use of www.nurhr.com (the "Website"), inquiries, consultation requests, and the general framework for engaging our services.
Â
Please read these Terms before using the Website or requesting services. Where you are asked to accept these Terms, your affirmative acceptance signifies your agreement. If you do not agree, do not use features that require acceptance. Nothing in these Terms overrides a right or protection that applicable law does not allow you to waive.
Â
Anyone entering into a paid engagement must have legal capacity to contract. If you request services on behalf of an organization, you must have authority to make that request and to provide information on its behalf. Only an authorized representative may enter into an agreement binding that organization.
Â
2. Separate service agreements
Â
Browsing the Website, submitting an inquiry, booking an introductory conversation, or receiving general information does not by itself establish a consulting engagement or require either party to enter into one.
Â
Paid consulting work begins only after the parties have entered into an applicable written services agreement, statement of work, or other written engagement confirmation that identifies the scope and commercial terms. A separate nondisclosure agreement may cover an evaluation before paid work begins.
Â
The applicable signed agreement governs the engagement, including deliverables, responsibilities, fees, payment dates, duration, termination, confidentiality, data handling, ownership of work product, and any agreed remedies. If these Terms conflict with that agreement, the signed agreement controls for the engagement, subject to applicable law. A Website update does not amend an existing signed agreement.
Â
A proposal is subject to its stated validity period and acceptance requirements. Neither silence nor an automated inquiry acknowledgment constitutes acceptance of a proposal. The signed agreement should establish the order of precedence among its statements of work, service schedules, data protection terms, and amendments. A scope change does not amend unrelated contract provisions unless the parties expressly agree.
Â
3. Services and scope
Â
We begin by discussing the organization's needs. Where a detailed current-state assessment is required, its scope, deliverables, and any fee are agreed before it begins. An assessment may lead to one or more of the following engagement options:
Â
**Outsourced HR Services.** NUR HR manages the HR operations and leadership responsibilities expressly assigned to it. This may support a business establishing its HR function or transitioning work from an existing person or team. The agreement defines the operating responsibilities, client approvals, service capacity, transition milestones, and fees. The description does not mean that every HR responsibility is automatically transferred.
Â
**Defined Projects.** NUR HR undertakes work toward a specified objective, with an agreed scope, deliverables, start and end dates, dependencies, and fee. Review milestones, included revisions, and any acceptance criteria are established in the statement of work.
Â
**Ongoing HR Partnership.** NUR HR provides professional guidance and agreed practical support for a recurring fee while the client retains the HR responsibilities not expressly assigned to NUR HR. This may suit a smaller business whose owner or manager handles HR, an existing HR professional needing additional expertise or capacity, or an organization outsourcing a particular HR process. The core partnership may meet a smaller business's needs, but includes only the agreed services and capacity.
Â
Depending on the agreed engagement, NUR HR may provide a range of HR and business support services, including but not limited to:
Â
- Fractional HR leadership and ongoing HR guidance.
- Employee relations and manager support.
- Hiring, onboarding, workforce planning, and HR operations support.
- HR reviews, gap assessments, policies, handbooks, documentation, and implementation support.
- HR systems, workflows, performance processes, and manager development.
- Executive, administrative, and business support.
- Coordination of specialist providers and agreed business projects.
- Payroll support, employee recognition programs, offsite coordination, and on-site support where specifically included.
- Other HR, people operations, organizational, administrative, operational, or business support services tailored to the client's needs and agreed in writing.
Â
This list is illustrative and does not limit the services the parties may agree to include in an engagement. Additional services remain subject to NUR HR's capabilities, applicable legal and licensing requirements, and a mutually agreed written scope and fee. Website descriptions illustrate available capabilities. They do not mean that every service, location, response time, or level of support is included in every engagement. Deliverables, capacity, service locations, timelines, communication arrangements, and any exclusions must be established in the applicable written agreement.
Â
Services may be added, reduced, removed, or substituted by mutual written agreement. A substitution may remain within the existing fee when the effort, complexity, and responsibility are comparable and both parties agree. A service menu does not create an unrestricted right to exchange services or request unlimited work.
Â
Each change must identify the affected services, capacity, fee adjustment, effective date, and duration. A temporary addition must have an agreed end date or completion event and specify the scope and fee that apply afterward. An ongoing addition must identify whether it continues for the remaining contract term or another agreed period. Any proration must be specified. Reducing a service does not automatically shorten a committed term or create a refund entitlement.
Â
Support hours, response targets, priority handling, included meetings, and any treatment of unused capacity must be established in the service schedule. A recurring partnership does not by itself provide on-call coverage, unlimited requests, or work outside agreed hours. Material changes in workforce size, locations, workload, or responsibilities may require a revised proposal; they do not independently authorize additional charges.
Â
4. Professional boundaries and client decisions
Â
NUR HR provides HR consulting and business support. Website information and ordinary HR consulting communications are not legal, tax, accounting, investment, or immigration advice. NUR HR does not establish an attorney-client relationship or attorney-client privilege through an inquiry, consultation, or confidentiality agreement.
Â
Where a matter requires licensed professional advice, the appropriate professional should review it. Coordinating a lawyer, accountant, or other specialist does not make NUR HR the provider of that specialist's regulated advice.
Â
Clients retain responsibility for their employment and business decisions, approvals, accurate records, and duties that the law assigns to them. Unless a separate lawful arrangement expressly provides otherwise, an HR engagement does not appoint NUR HR as the client's employer of record or transfer the client's payroll, tax, or employment obligations. Each party remains responsible for its own conduct and legal duties.
Â
The terms "outsourced HR," "HR partnership," and "fractional HR" describe service arrangements. They do not by themselves establish a professional employer organization, co-employment arrangement, legal partnership, or benefits-plan fiduciary appointment. Actual legal responsibilities depend on applicable law, the parties' conduct, and the agreed arrangement; labels cannot override them.
Â
The client must identify the jurisdictions in which the relevant workforce operates. General Website guidance and resources may not address every state, country, industry, or subsequent change in law. Support in a jurisdiction, and work requiring a particular license or authorization, must be expressly assessed and agreed before it begins.
Â
An HR review examines the agreed scope and information available at the time. It is not a guarantee that every issue will be discovered or that a regulator, court, employee, or third party will reach a particular conclusion. Recommendations may need to change when facts, locations, or applicable requirements change.
Â
NUR HR may decline proposed work outside its competence, lawful authority, available capacity, or agreed scope, or where an unresolved conflict of interest prevents appropriate service. Any change to an existing engagement remains subject to that agreement, including notice, transition, and payment obligations.
Â
5. Inquiries and introductory appointments
Â
Please provide accurate contact and scheduling information. A requested appointment is subject to availability and confirmation. An acknowledgment that a request was received is not necessarily confirmation that the appointment has been accepted.
Â
If you need to cancel or reschedule, use the instructions in your appointment communication or contact us as soon as reasonably possible. Any fee for a consultation, cancellation, rescheduling, or nonattendance must be disclosed and agreed before it applies. These Terms do not independently impose a cancellation or no-show fee.
Â
An introductory conversation is intended to understand your needs, discuss suitability, and identify possible next steps. It does not include a comprehensive assessment or ongoing monitoring unless separately agreed.
Â
The public Website and inquiry channels are not emergency reporting services. Do not rely on an unanswered inquiry to preserve a filing deadline, report an immediate safety threat, or meet an employer reporting obligation. Use the appropriate designated reporting or emergency channel.
Â
6. Pricing, payment, and commitments
Â
Fees are established in the accepted written proposal and applicable engagement agreement following discussion or assessment of the client's needs. Any starting price, example, or service menu published elsewhere is indicative of its described scope and is not a quote for every organization. The agreement establishes the actual fee, currency, start date, commitment period, and included support.
Â
Monthly billing does not, by itself, make a fixed-term engagement cancelable month to month. Early termination rights and any resulting payment obligations must be stated in the signed agreement. These Website Terms do not accelerate remaining installments or establish an early termination penalty.
Â
Defined projects are priced by scope. Outsourced HR services and ongoing HR partnerships require a tailored proposal. Workforce size, locations, complexity, responsibilities, and requested capacity may affect pricing.
Â
Payment schedules, deposits, taxes, approved expenses, provider charges, and any lawful late-payment terms will be disclosed in the applicable agreement. No additional work or expenditure is authorized solely because it appears on the Website.
Â
Employee recognition programs may be priced as an inclusive package or with separate program, gift, and delivery charges, as specified in the agreed proposal. The proposal will identify what is included in the price and any separately payable costs. Additional charges require the client's prior written approval. Offsite coordination fees are distinct from event budgets and third-party charges. On-site visits and other operational support must be scoped and priced as agreed.
Â
These Terms do not authorize automatic renewal or recurring charges to a payment method. Any such arrangement must be separately disclosed and authorized as required by applicable law. Changes to public pricing do not change an existing agreement without the amendment process required by that agreement.
Â
7. Cancellation, termination, and refunds
Â
Cancellation, termination, notice periods, and refund rights for paid services are governed by the applicable written engagement agreement and mandatory law. Please contact us if you have a concern about a service or charge.
Â
These Terms do not establish a blanket "no refunds" policy. They do not remove remedies for services that were not delivered or for other matters where applicable law provides a remedy.
Â
Before NUR HR incurs a third-party cancellation charge or nonrefundable commitment on your behalf, the relevant costs and authorization must be addressed in the agreed arrangement. Website descriptions alone do not authorize those commitments.
Â
The engagement agreement should also establish how work is handed over at the end of services, including outstanding decisions, deliverables, records, system access, and any separately priced transition assistance. Record return or deletion remains subject to applicable retention duties, legal holds, confidentiality obligations, and any agreed data processing terms. These Terms do not authorize withholding client records contrary to law or contract.
Â
8. Information, authority, and cooperation
Â
For an agreed engagement, the client must provide the information, access, decisions, and cooperation reasonably required for the work. Information should be accurate and complete to the client's knowledge, and relevant changes should be communicated promptly.
Â
The engagement must identify the client's authorized contacts and the decisions each may approve. Requests by other employees or providers do not automatically authorize new work, spending, or changes to the agreement. Instructions that are unclear, conflicting, or apparently unauthorized may require clarification before action is taken.
Â
NUR HR may use client-supplied information for the agreed work without conducting an independent audit unless verification is part of the scope. This does not excuse ignoring an apparent material error or an agreed verification duty. Clients should promptly review submitted materials and flag errors; receipt of a draft or silence does not by itself establish final approval.
Â
You must have lawful authority to share records and authorize access. A confidentiality agreement does not substitute for required notices, consent, access permissions, or a lawful basis for processing personal information.
Â
Where system access is required, use individually assigned accounts and permissions appropriate to the approved work where the system supports them. Do not share credentials through public forms. Notify the designated contact promptly of suspected unauthorized access relevant to the engagement, and coordinate removal of access when it is no longer needed. Each party remains responsible for its own access controls and duties; these Terms do not transfer all security risk to either party.
Â
NUR HR may act or communicate on a client's behalf only within the authority expressly granted. General consulting or project coordination does not authorize NUR HR to sign contracts, commit funds, make employment decisions, or represent a client before a tribunal.
Â
Delays or material changes may require an agreed adjustment to scope or timing. They do not automatically authorize extra fees. Neither party may require the other to undertake unlawful, discriminatory, retaliatory, misleading, or unauthorized conduct.
Â
9. Confidentiality and sensitive information
Â
Before a substantive evaluation involving confidential business information, identifiable workforce records, sensitive personal information, or nonpublic system access, NUR HR requires an appropriate signed nondisclosure agreement or an existing agreement that adequately covers the evaluation.
Â
Keep initial inquiries general or anonymized. Do not submit Social Security numbers, identity documents, medical records, financial credentials, identifiable employee allegations, trade secrets, or system passwords through a public inquiry form or ordinary introductory message. Contact us first to establish the appropriate agreement and information-sharing method.
Â
Applicable confidentiality obligations are governed by law and the relevant agreement. An employee matter may require appropriate disclosure to authorized decision-makers, counsel, witnesses, or others involved in addressing it. Absolute secrecy, anonymity, or legal privilege cannot be promised.
Â
Nothing in these Terms prohibits lawful reporting to government agencies, cooperation with investigations, protected whistleblowing, legally protected discussions of working conditions, or other protected activity. No prior notice to or permission from NUR HR is required for a disclosure where the law protects disclosure without such a requirement.
Â
10. Privacy
Â
Our separate Privacy Policy explains how personal information is handled in connection with the Website and relevant business activities. These Terms do not replace that policy, any required privacy notice, or an applicable data processing agreement.
Â
When services involve client-controlled workforce information, the applicable agreement must address the parties' roles, authorized purposes, access, and other required data handling terms. These Website Terms do not authorize unrelated use of client information or the collection of unnecessary sensitive records.
Â
11. Specialist providers and external services
Â
Where agreed, NUR HR may coordinate specialist providers, delivery, and consolidated billing. The engagement documents should identify the applicable arrangement, including who contracts with the provider, who is responsible for delivery, the authorized scope, fees, and any information sharing.
Â
If you contract directly with an independent provider, its agreed terms govern that relationship. If NUR HR undertakes an obligation as your contracting provider, use of a subcontractor does not by itself remove that obligation.
Â
Any proposed substitution of a key provider, material change in information access, or change in provider costs must follow the engagement's approval requirements. Client funds, payroll submissions, filings, and signatures require the specific authority applicable to that activity. These Terms do not grant NUR HR a general power of attorney or permission to reuse a client's signature.
Â
The Website may use or link to external hosting, scheduling, meeting, or other services. Those providers have their own applicable terms and privacy practices. A link does not by itself establish an endorsement, partnership, or guarantee. NUR HR remains responsible for obligations that applicable law or its agreements assign to it.
Â
12. Notary appointments, where available
Â
Notary appointments are available only when confirmed with a properly commissioned individual who has completed all applicable requirements to perform the act. NURNOW LLC is not itself an individually commissioned notary. A Website reference or inquiry does not confirm current availability or qualification.
Â
Appointment requirements, lawful notarial fees, and any separately agreed travel or service charges must be disclosed before the appointment. The notary may decline or stop an act when legal requirements are not met.
Â
Notarial services do not include legal advice or selection of the legal document or notarial act you need. Notarization does not guarantee the legal effect of a document or its acceptance by another organization.
Â
Official journals and other required notarial records are subject to the notary's statutory control, retention, access, and disclosure obligations. A confidentiality agreement or general deletion request does not override those obligations.
Â
13. Website content and intellectual property
Â
Website text, branding, graphics, designs, and other materials are owned by NURNOW LLC or used with permission, except where otherwise identified. Applicable intellectual property laws protect those materials.
Â
You may view the Website and retain reasonable copies for personal use or internal evaluation of our services, keeping relevant ownership notices intact. You may not sell, republish, commercially distribute, or misleadingly present our materials or branding as your own without permission, except as permitted by law.
Â
If we offer a resource expressly designated for download and internal business use, you may use it within your own organization subject to its stated license. A template expressly offered for customization may be adapted for that internal purpose. This permission does not allow resale, public redistribution, sublicensing, or use to provide a competing commercial resource. Third-party materials remain subject to their applicable licenses. General resources require review for the organization's circumstances before implementation and carry no promise of continuing updates unless expressly included.
Â
You may link to publicly accessible Website pages without suggesting NUR HR endorses you. Framing, misleading use of our branding, or presentation that conceals the source requires our written permission, except as permitted by law. Intellectual property concerns may be reported to the contact below with identification of the material and the rights involved.
Â
Ownership and permitted use of client deliverables, templates, methodologies, client materials, and third-party materials are determined by the applicable signed engagement agreement. These Terms do not transfer ownership of your confidential information or grant NUR HR an unrestricted license to use it.
Â
14. Acceptable use
Â
You must not use the Website to impersonate another person, submit fraudulent requests, transmit malicious code, attempt unauthorized access, interfere with normal operation, harvest private information, or infringe another person's rights.
Â
Do not use Website forms to harass others or transmit information you are not authorized to share. Reasonable access by legitimate search engines and accessibility tools is not prohibited by this section.
Â
Do not bypass access controls, probe nonpublic systems without authorization, submit bulk unsolicited promotions, or use automated tools to extract protected content or personal information in violation of applicable law or permitted use. If a password-protected feature is made available, safeguard your credentials, use only authorized access, and promptly report suspected compromise.
Â
Nothing in these Terms prohibits honest reviews, fair criticism, lawful comparison, protected reporting, or other legally protected expression.
Â
15. Website availability and information
Â
We seek to provide useful information, but Website content may contain errors or become outdated. To the extent permitted by law, the Website and its general informational materials are provided on an "as available" basis without a promise of uninterrupted availability, complete accuracy, or suitability for every situation.
Â
We may correct Website errors and change or discontinue Website features. A correction does not retroactively change a signed engagement agreement. Contact us to confirm information material to a purchasing or business decision.
Â
Any case study, testimonial, illustrative result, or example reflects its particular circumstances and does not promise the same result for another organization. A publication date identifies when material was prepared or updated; it is not a promise that the material reflects all later developments.
Â
This section concerns the public Website. It does not disclaim an express service commitment, replace the standard of performance in a signed agreement, or excuse obligations that cannot lawfully be excluded.
Â
16. Responsibility and limitations
Â
To the extent permitted by applicable law, NURNOW LLC will not be liable for indirect or consequential losses arising solely from use of, or inability to access, the public Website. This provision does not govern liability for paid consulting work, confidential evaluations, or other services covered by a separate agreement.
Â
No exclusion in these Terms applies to fraud, willful misconduct, gross negligence, violations of law for which liability cannot be excluded, or any other liability or remedy that applicable law does not permit the parties to limit. Mandatory consumer protections remain unaffected.
Â
These Terms do not impose a monetary liability cap, require indemnification, or waive claims arising from a separate service agreement. Any proposed allocation of service-related risk must be addressed expressly in that agreement and remain subject to applicable law.
Â
17. Restricting Website access
Â
We may restrict access to a Website feature where reasonably necessary to address misuse, security threats, unlawful activity, or operational problems. Any restriction remains subject to applicable law.
Â
A restriction on public Website access does not itself terminate a paid engagement or alter either party's obligations under a signed agreement. Use the contact details below for an alternative way to raise a service issue.
Â
18. California law and disputes
Â
California law governs these Terms to the extent permitted by applicable law, without depriving a person of mandatory protections that otherwise apply.
Â
Please contact NUR HR if a dispute arises so that we can try to resolve it. Contacting us is not a mandatory condition for exercising legal rights and does not extend a legal deadline unless the parties lawfully agree otherwise.
Â
Subject to applicable jurisdictional requirements and mandatory rights, disputes concerning these Website Terms may be brought in courts of competent jurisdiction in Los Angeles County, California. This provision does not restrict any nonwaivable right to another forum or an otherwise available small-claims remedy. A signed engagement agreement may separately govern service disputes.
Â
These Website Terms do not require binding arbitration or waive class-action or jury-trial rights.
Â
19. Changes and general provisions
Â
We may revise these Terms and will identify the updated version by its last-updated date. Changes apply prospectively. Where notice or affirmative acceptance is required, we will provide or obtain it before applying the relevant change. Revised Website Terms do not alter an existing signed agreement without the amendment process required by that agreement.
Â
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
Â
Routine scheduling and service communications may take place through agreed electronic channels. Formal notices, contract amendments, statutory disclosures, and electronic signatures must satisfy the applicable agreement and law. An inquiry does not itself enroll a person in marketing communications or authorize charges or execution of documents.
Â
Website access may be affected by outages or events beyond reasonable control. Such an event does not automatically excuse performance or payment obligations under a paid engagement. Its effect on service deadlines, notice, mitigation, and any right to end prolonged interrupted services must be addressed under the applicable agreement and law.
Â
These Terms address the public Website and the general framework for inquiries and engagements. They operate alongside applicable written agreements and do not override mandatory law.
